We are doing our best to keep you safe

Bathrooms are a sensitive area. While we appreciate a well-maintained bathroom, we do not support companies prioritizing profit over your privacy. Frankly, we don't care what brings you to the bathroom. Our primary concern is that you respect the space and remember that someone is going to need that bathroom after you.

We don't know who you are (unless you tell us)

We think bathroom habits should stay anonymous. Don't you? We don't want to know your name. Use a username or sleek alias!

We are not tracking or sharing your personal data.

What you do in the bathroom is your business. We get rid of all individual data. We only care about when the bathroom needs to be cleaned again.

We don't know what you're doing...and we don't want to.

If you have a weird bathroom habit, it will stay your secret.

At Yedi, our mission is to make it easy for everyone to access clean, high-quality bathrooms. When it comes to data, we keep things simple: we only collect information that helps us keep bathrooms clean and running smoothly.

We don't track who you are or anything personal about you. Instead, we look at things like how often a bathroom is used before it needs cleaning or how long it stays occupied before we send in our team. All the data we collect is anonymous and used only to improve your bathroom experience.

Your privacy matters to us—and we're committed to protecting it every step of the way.

A Letter to Our Users

Welcome to privacy at Yedi. To us, privacy means using Yedi network bathrooms without fear or anxiety. This also means securing your data and making sure your private time is...well, private. Notably, we want to assure you that your data will not be misused, misappropriated, or bought and sold in ways you're not aware of.

We care about your privacy and want to be upfront about how we treat your personal data: what data we collect, why we collect it, where it all goes, and for how long. So we wrote this document to explain it to you in the clearest, simplest way we know how.

In addition to this privacy policy, please read our Terms of Use which also applies to your use of the Yedi Platform and Yedi App. It's also where we cover any terms not directly defined in this policy.

One more reminder before you get started. While we will do our best to protect your privacy, unfortunately, real life is not always as glamorous as we hope. So to ensure you are given the privacy you both want and deserve, please:

Important Definitions

We have a variety of terms that we use to help standardize and clarify our language around privacy, data, and bathroom use. Below is a list of each term with a corresponding explanation: Personal Data means any information that identifies or relates to a particular individual (often referred to as "personally identifiable information" or "PII"). Data that is completely anonymized and cannot be linked with an individual user is NOT considered Personal Data.

Yedi Partners are a group of bathroom providers that help us deliver quality bathroom experiences. This group may include:

  • Convenience stores, restaurants, cafes, or coffee shops
  • Any other brick & mortar shop that operates bathrooms of small to

> medium size supporting one to three users

Partner Staff are the group of people responsible for on-the-ground cleaning and upkeep of Yedi Network bathrooms. They receive user feedback if a problem is reported in a Yedi bathroom. They will also benefit from the fees collected at the door!

When you reach out directly or otherwise choose to give us information

For instance, when you submit a bug report or submit feedback for a bathroom, we'll collect the information you share with us to help solve your problem. Specifically, if you submit a bathroom problem report we'll automatically collect the IP address to ensure that submissions are not spam (multiple reports from the same device for the same problem).

Under what conditions would we share your personal data?

We never sell your data without explicit consent (more on this below), and we'll only share it in the following circumstances:

  • If needed to meet our legal requirements or safety measures, or to

> enforce legal rights. See "Why do we collect personal data?" below > for more.

  • If there's a change in company ownership such as a merger,

If you choose to opt in to one of our programs where we share survey data with trusted healthcare partners, we want you to know exactly how it works. We only share data that has been anonymized—meaning it can't be linked back to you personally.

Participation is always your choice. You'll be asked for your consent before joining, and as a thank you, you may receive discounted or even free services. You will never be automatically enrolled in this program, and you can opt out at any time—no questions asked.

Why do we collect personal data?

In general, we collect personal data to provide and improve our product and Services. This includes data to make the Platform work (such as account information) or data to make the Platform better (such as Device or Product Usage Data). We also collect data to make sure we're able to:

  • Protect against fraud, or implement additional security measures.\

  • Meet legal requirements, safety measures, and enforce legal

- Protecting your rights, property, or safety, or that of any > party that interacts with our product.

How do we store and protect your data and privacy?

We do our best to protect the Personal Data we collect from any unauthorized parties accessing, using, or sharing it, but it's important to remember that no method of transmitting data over the internet or storing data is 100% secure. We also ask you to help us out with protecting your physical privacy when you use a Partner restroom:

  • Make sure the door is closed behind you as you enter
  • Make sure you ensure the lock is secured after you've entered the

> restroom and the door is closed. That means engaging the button on > the Yedi Zen Lock!

  • When you are exiting the bathroom, ensure the door closes behind you

We will only hold on to Personal Data for as long as you have an account with us or as otherwise necessary to provide you with our Services.

We'll hang on to it for longer if needed to meet our legal requirements discussed above, or if it's anonymized so that it can't be linked to a specific user.

If you are a resident of California, Nevada, or the EU, you may be afforded specific privacy rights and protections related to your personal data. Learn more in Appendix A.

Using the bathroom the Right Way

We recommend you use the bathroom in a specific manner that will minimize risk to you and others as you use the Service:

  • Wash your hands thoroughly. Always wash your hands with soap and

> water after using the restroom. If soap is unavailable, use hand > sanitizer. This is the most effective way to protect yourself and > others from germs.

  • Minimize contact with surfaces. Use a paper towel, tissue, or your

> elbow to touch handles, faucets, and doors whenever possible.

> Avoid placing personal items like phones or bags on restroom > surfaces.

  • Report issues promptly. If you notice cleanliness problems, broken

> fixtures, or safety concerns, alert Partner Staff right away so > they can address them quickly.

  • Respect privacy and space. Give others personal space and avoid

> crowding, especially in small or busy restrooms.

Yedi is in the business of positive restroom experiences! Help eliminate anxiety and respect each other's private space.

Are there age limits to who can use the product?

We do not collect or solicit Personal Data about children under 16 years of age; if you are a child under the age of 16, please do not attempt to register for, or otherwise use the Yedi App or send us any Personal Data.

If we learn we have collected Personal Data from a child under 16 years of age, we will delete that information as quickly as possible. If you believe that a child under 16 years of age may have provided Personal Data to us, please contact us at [email protected].

Yedi bathrooms are for everyone. However, we do not recommend children under the age of 16 sign up for the Yedi App and find and use bathrooms without express permission from their parent or guardian.

Changes to our Privacy Policy

We may need to change this Privacy Policy from time to time. If we do, we'll let you know by placing a notice on the Yedi App. We may also send you an email.

If you opted not to receive legal notice emails (— we get it), or you haven't given us your email in the first place, the updated policy will still apply. We'll do our best to get these updates in front of you, however, the ball's ultimately in your court to read and understand them. If you continue to use the product we'll assume the updates are okay with you. But please do let us know if you find a bug or something else that we may have missed.

Appendix: Privacy Rights by Region

If you are a resident of California, Nevada, or the EU, you may be afforded specific privacy rights and protections related to your personal data. Scroll down for more information.

European Union and United Kingdom Data Subject Rights

EU and UK Residents

If you are a resident of the European Union ("EU"), United Kingdom ("UK"), Lichtenstein, Norway or Iceland, you may have additional rights under the EU or UK General Data Protection Regulation (the "GDPR") with respect to your Personal Data, as outlined below.

For this section, we use the terms "Personal Data" and "processing" as they are defined in the GDPR, but "Personal Data" generally means information that can be used to individually identify a person, and "processing" generally covers actions that can be performed in connection with data such as collection, use, storage and disclosure.

Yedi will be the controller of your Personal Data processed in connection with the Services.

Please note: If you are visiting a Yedi restroom in the United States, your personal data is handled according to U.S. law. This means that U.S. privacy and data protection regulations—not European (GDPR) rules—apply to any information collected while you are physically in the U.S. Privacy laws in the U.S. are generally sector-specific and may differ from the protections you are used to in the EU. If you have questions about how your data is managed, please review our privacy policy or contact us directly.

If there are any conflicts between this section and any other provision of this Privacy Policy, the policy or portion that is more protective of Personal Data shall control to the extent of such conflict. If you have any questions about this section or whether any of the following applies to you, at [email protected]. Note that we may also process Personal Data of our customers' end users or employees in connection with our provision of certain services to customers as processor of Personal Data. If we are the processor of your Personal Data (i.e., not the controller), please contact the controller party in the first instance to address your rights with respect to such data.

Personal Data We Collect

The "Categories of Personal Data We Collect" section details the Personal Data that we collect from you.

Personal Data Use and Processing Grounds

We only process your personal data when we have a lawful basis to do so.

The main legal grounds for processing your data are: contractual necessity, legitimate interests, your consent, and, in some cases, compliance with legal obligations or protection of vital interests.

Contractual Necessity

We process certain categories of personal data because it is necessary to fulfill our contract with you and provide our services. If you do not provide this data, you may not be able to use some or all features of our services. This includes:

For business partners: Profile, contact, location address, or cleaning data

For consumers: Profile or contact data

Legitimate Interests

We may process your personal data when it is necessary for our legitimate business interests or those of a third party, provided that these interests are not overridden by your rights and freedoms. Examples include:

  • Profile or contact data (such as your name and email)
  • Device data
  • Product usage data (including insights drawn from how you use our

  • Other information you voluntarily provide
  • Geolocation data (collected only via our app)
  • De-identified or anonymized data used to improve our services

Our legitimate interests include, for example:

  • Providing and improving our services
  • Marketing our services (with opt-out options)
  • Communicating with you
  • Ensuring network and information security
  • Detecting and preventing fraud or misuse
  • Meeting legal requirements and enforcing our terms

Managing a change in company ownership. We always balance our interests against your privacy rights and will not use this basis where your rights override our interests.

Consent. In some situations, we process your personal data only with your explicit consent. When this is the case, we will clearly ask for your permission at the time your data is collected. You can withdraw your consent at any time.

Other Legal Grounds. Occasionally, we may need to process your personal data to comply with a legal obligation, to protect your vital interests or those of others, or when it is necessary for a task carried out in the public interest.

Sharing Personal Data

The "How We Share Your Personal Data" section above details how we share your Personal Data with third parties.

Transfers of Personal Data

The Services are hosted and operated in the United States ("U.S.") through Yedi and its service providers, and if you do not reside in the U.S., laws in the U.S. may differ from the laws where you reside. By using the Services, you acknowledge that any Personal Data about you, regardless of whether provided by you or obtained from a third party, is being provided to Yedi in the U.S. and will be hosted on U.S. servers, and you acknowledge that Yedi may transfer, store and process your information to and in the U.S., and possibly other countries. You hereby acknowledge that  such transfer of your data to the U.S. may occur pursuant to a data processing agreement incorporating standard data protection clauses promulgated by the European Commission, a copy of which can be obtained at [[https://eur-lex.europa.eu/eli/dec_impl/2021/914/oj?uri=CELEX:32021D0914&locale=en]{.underline}](https://eur-lex.europa.eu/eli/dec_impl/2021/914/oj?uri=CELEX:32021D0914&locale=en) (as may be modified pursuant to applicable law), if Yedi is processing your personal data as a processor.

California Resident Rights

If you are a California resident, you have the rights set forth in this section. Please see the "Exercising Your Rights" section below for instructions regarding how to exercise these rights. Please note that we may process Personal Data of our customers' end users or employees in connection with our provision of certain services to our customers. If we are processing your Personal Data as a service provider, you should contact the entity that collected your Personal Data in the first instance to address your rights with respect to such data.

If there are any conflicts between this section and any other provision of this Privacy Policy and you are a California resident, the portion that is more protective of Personal Data shall control to the extent of such conflict. Access

You have the right to request certain information about our collection and use of your Personal Data over the past 12 months. In response, we will provide you with the following information:

  • The categories of Personal Data that we have collected about you.
  • The categories of sources from which that Personal Data was

  • The business or commercial purpose for collecting or selling your

  • The categories of third parties with whom we have shared your

  • The specific pieces of Personal Data that we have collected about

If we have disclosed your Personal Data to any third parties for a business purpose over the past 12 months, we will identify the categories of Personal Data shared with each category of third party recipient. If we have sold your Personal Data over the past 12 months, we will identify the categories of Personal Data sold to each category of third party recipient.

Deletion

You have the right to request that we delete the Personal Data that we have collected about you. Under the CCPA, this right is subject to certain exceptions: for example, we may need to retain your Personal Data to provide you with the Services or complete a transaction or other action you have requested. If your deletion request is subject to one of these exceptions, we may deny your deletion request.

Exercising Your Rights

To exercise the rights described above, you or your Authorized Agent (defined below) must send us a request that (1) provides your name and email to allow us to verify that you are the person about whom we have collected Personal Data, and (2) describes your request in sufficient detail to allow us to understand, evaluate and respond to it. Each request that meets both of these criteria will be considered a "Valid Request." We may not respond to requests that do not meet these criteria. We will only use Personal Data provided in a Valid Request to verify your identity and complete your request. You do not need an account to submit a Valid Request.

We will work to respond to your Valid Request within 45 days of receipt.

We will not charge you a fee for making a Valid Request unless your Valid Request(s) is excessive, repetitive or manifestly unfounded. If we determine that your Valid Request warrants a fee, we will notify you of the fee and explain that decision before completing your request.

You may also authorize an agent (an "Authorized Agent") to exercise your rights on your behalf. To do this, you must provide your Authorized Agent with written permission to exercise your rights on your behalf, and we may request a copy of this written permission from your Authorized Agent when they make a request on your behalf.

Personal Data Sales Opt-Out and Opt-In

We will not sell your Personal Data, and have not done so over the last 12 months. To our knowledge, we do not sell the Personal Data of minors under 16 years of age.

We Will Not Discriminate Against You for Exercising Your Rights Under the CCPA

We will not discriminate against you for exercising your rights under the CCPA. We will not deny you our goods or services, charge you different prices or rates, or provide you a lower quality of goods and services if you exercise your rights under the CCPA. However, we may offer different tiers of our Services as allowed by applicable data privacy laws (including the CCPA) with varying prices, rates or levels of quality of the goods or services you receive related to the value of Personal Data that we receive from you.

Other State Law Privacy Rights

California Resident Rights

Under California Civil Code Sections 1798.83-1798.84, California residents are entitled to contact us to prevent disclosure of Personal Data to third parties for such third parties' direct marketing purposes; in order to submit such a request, [[please contact us here]{.underline}](http://[email protected]) or email [email protected].

Nevada Residents Rights

Residents of Nevada also have the distinct right to opt-out of the sale of certain Personal Data to third parties who intend to license or sell that Personal Data. *Note, this is not applicable to our data collection purposes. Under no circumstances does Yedi sell personal data to third parties.*

WHEREAS, Yedi is a technology company focused on delivering solutions for restroom management, operations, data collection, logistics, and access control;

WHEREAS, the Partner desires to secure and monetize its restroom(s), improve restroom operations at its location(s), and collect more data regarding its restroom facilities;

WHEREAS, Yedi provides software and hardware services for restroom management, operations, and digital transformation;

WHEREAS, the Partner wishes to engage Yedi for its software platform and hardware products to improve its restroom operating model, and Yedi desires to accept such engagement on the principal terms set forth in this agreement;

1. Definitions

———————————————————————– Yedi Zen Lock A smart lock that is leased or owned by Yedi's Partners. —————— —————————————————- Yedi Platform The comprehensive suite of Yedi hardware and software products. Yedi will continually enable new features and functionality through its services.

Partner App A dedicated mobile app used by the Partner to change codes on the Yedi Zen Lock and interact with the lock.

CleanSuite A web application within the Yedi Platform that empowers customers to manage staff and locations, providing real-time analytics to monitor and enhance location performance.

Code Printer An optionally purchased small thermal printer used to print one-time codes to paying customers. These codes grant access to the Yedi Zen Lock.

Signage Signage includes the signs used for both explaining how to access the restroom, a window sign for the location, and signs inside of the restroom used for Pulse's feedback loop.

Location(s) The physical retail location(s). This can house multiple restrooms.

Restroom(s) A physical room within the location that includes a door that can fit the Yedi Zen Lock, a toilet, a sink, and other restroom related fixtures.

Pay-per-use The action of a non-customer paying at the Yedi Zen Lock to access the restroom. This generates revenue (depending on the prices set by Partner).

Platform Fee Depending on the Partner agreement, this fee may or may not be relevant. This is a fee charged to Partners to enable the use of Yedi's platform.[^1]

Lease Term The period during which the Yedi Zen Lock is leased to the customer.

Pilot Use of the Services during the Pilot Period.

Pilot Period The length of the Pilot and for how long the Pilot Terms will be active.

Service Term The length of the contract and for how long the Services will be delivered.

Platform Term The period from the Installation Date to the end of the contract term.

Installation The date the Yedi Zen Lock(s) has/have been Date installed and the Services officially begin.

Services The Services are the full suite of Yedi's Platform and Partner support services. ———————————————————————–

2. Hardware & Software Services

2.1 Hardware

Yedi agrees to lease or sell one or more Yedi Zen Locks and Code Printer to the Partner as part of the subscription service. If the Partner receives the lock free of charge, this constitutes a "Lease to Own"

model: Yedi retains ownership until Pay-per-use revenue has met the retail price of the Yedi Zen Lock.

2.2 Software

Yedi will provide Partner with access to the Yedi Platform via individual user credentials ("Seats"). There are two categories: CleanSuite Seats and the Yedi Partner Zen App Seats. Each Partner receives one (1) Administrator Seat and two (2) additional seats per location (Administrator or Manager roles, at Partner's discretion).

2.3 Hardware Warranty

Yedi warrants all hardware against defects in materials and workmanship under normal use for one (1) year from the installation date, subject to the terms in Section 6.2.

2.4 Posted Signage

By signing this agreement, Partner agrees to display a Yedi sign in the window of their store. The sign may be color-customized to match Partner branding. Its purpose is to inform customers and non-customers that the restroom is secured by Yedi.

3. Payment of Fees

3.1 Fees

Partner will pay Yedi the applicable fees for Services and Implementation as outlined in Exhibit B.

3.2 Invoicing

For initial hardware and implementation fees, Yedi may invoice Partner.

Full payment is due within thirty (30) days of invoice mailing. Unpaid amounts incur a 1.5% monthly finance charge (or the maximum permitted by law), plus collection expenses, and may result in immediate service termination. Partner is responsible for all taxes except U.S. taxes based on Yedi's net income.

3.3 Staff Bonus

Yedi suggests a portion of the Partner's earnings are used to reward Partner's staff for maintaining cleanliness standards, as detailed in monthly earnings emails. Partner agrees to pay equivalent bonuses to staff each month, subject to applicable law.

3.4 Third-Party Transaction Fees

Each transaction processed through the Yedi Platform incurs a third-party transaction fee (3%–15% of the transaction value), split evenly between the parties.

4. Term and Termination

4.1 Term

Unless terminated earlier, this Agreement remains in effect for the initial Service Term and automatically renews for additional 12-month periods unless either party provides at least thirty (30) days' notice prior to the end of the then-current term.

4.2 Termination

Either party may terminate this Agreement with ninety (90) days' notice (or immediately for nonpayment) if the other party materially breaches any terms. Partner must pay for Services through the last day of provision. Upon termination, Yedi will provide Partner with access to Partner Data for thirty (30) days; thereafter, Yedi may delete stored data. Sections regarding payment, confidentiality, warranty disclaimers, and liability limitations survive termination.

4.3 Return of Leased Hardware

Upon termination, and if the Partner has not earned the necessary amount to own the lock, Partner will return all hardware to Yedi within thirty (30) days. Removal may come at the cost of the Partner.

5. Data Collection & Ownership

5.1 Data Collection

Yedi will collect the following data ("Usage Data") during the Contract Term:

  • Restroom information
  • Cleaning checklists
  • Photos
  • Restock quantities
  • Employee information ("Employee Data"): name, email, location (only

> while using the application)

  • User feedback
  • Photos of restroom condition

No personal or identifying data will be collected from restroom users regarding restroom conditions.

5.2 Data Ownership

Except for Employee Data, all Usage Data generated at the location as a direct result of Yedi's products is owned by Yedi. Yedi may store, process, analyze, and use all Usage Data (including Employee Data) for its business purposes, including product improvement and AI/ML model training, without approval or compensation to Partner.

Partner is responsible for providing required notices and obtaining consents from individuals whose personal data is collected by Yedi, including Yedi employees and contractors ("Yedi Personnel"). Partner will provide Yedi with copies of such notices and consents.

Upon Partner request, Yedi can anonymize Employee Data if the Agreement is terminated.

Yedi will use commercially reasonable security measures to protect Usage Data from unauthorized use, access, or disclosure. Data will be hosted on secure third-party servers.

5.3 Data Protection and Compliance

Yedi and Partner shall comply with all applicable data protection and privacy laws regarding the collection, use, and processing of personal data, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), where applicable. Each party will provide reasonable assistance to the other to fulfill any data subject rights requests or regulatory inquiries.

5.4 Wi-Fi Requirements

Partner acknowledges that a functional Wi-Fi network is essential for Services. Partner is solely responsible for providing and maintaining Wi-Fi at the location(s) with minimum speeds of 10 Mbps download, 5 Mbps upload, and latency under 100ms. Yedi may suspend or terminate Services if Wi-Fi requirements are not met. Partner agrees to promptly address any connectivity issues and cooperate with troubleshooting.

6. Warranty and Disclaimer

6.1 General Warranty

Yedi will use commercially reasonable efforts to maintain the hardware and services with minimal downtime and to perform installations in a professional manner. Services may be temporarily unavailable for scheduled or emergency maintenance, but Yedi will provide advance notice when possible. Yedi does not warrant uninterrupted or error-free service, or any particular results from use. EXCEPT AS EXPRESSLY SET FORTH HEREIN, SERVICES AND IMPLEMENTATION ARE PROVIDED "AS IS" AND YEDI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6.2 Limited Hardware Warranty

Yedi warrants hardware against defects in materials and workmanship under normal use for one (1) year from shipping. Defective hardware will be replaced at no cost, but Partner must return the defective hardware within fourteen (14) days of receiving the replacement. Failure to return hardware may result in charges to Partner's account or payment card. This is Yedi's sole liability and Partner's exclusive remedy for breach of warranty. This warranty does not apply to hardware subject to alteration, misuse, accident, or acts of God, nor does it cover third-party hardware or consumables (e.g., batteries). All third-party hardware is subject to the manufacturer's warranty.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THIS LIMITED WARRANTY IS PROVIDED IN LIEU OF ANY OTHER WARRANTY, WHETHER EXPRESS OR IMPLIED, WRITTEN OR ORAL, WITH RESPECT TO ANY YEDI OR THIRD-PARTY PRODUCT.

ACCORDINGLY, YEDI EXPRESSLY DISCLAIMS ANY WARRANTY OR CONDITION OF MERCHANTABILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, OR AGAINST HIDDEN OR LATENT DEFECTS. TO THE EXTENT SUCH WARRANTIES CANNOT BE DISCLAIMED, YEDI LIMITS THE DURATION AND REMEDIES OF SUCH WARRANTIES TO THE DURATION AND REMEDY OF THIS LIMITED WARRANTY. IN NO EVENT WILL YEDI BE LIABLE FOR ANY LOSS OR DAMAGE OR FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR INDIRECT DAMAGES HOWEVER CAUSED ARISING OUT OF YOUR USE OF OR INABILITY TO USE ANY YEDI OR THIRD PARTY PRODUCTS PROVIDED BY YEDI, INCLUDING LOSS OF REVENUE, LOSS OF ACTUAL OR ANTICIPATED PROFITS, LOSS OF GOODWILL, OR LOSS OF REPUTATION.

6.3 Handbook & Self Service

Yedi will provide each Partner with a user handbook, battery replacement instructions, and a compatible charger for the Yedi Zen Lock. Partners are responsible for routine battery replacement as described in the handbook unless otherwise agreed.

Support for battery changes and charger replacement is available under the standard support terms.

7. Feedback

Partners may provide suggestions, comments, or other feedback regarding the Yedi Platform, Services, or Hardware. Yedi may use, disclose, reproduce, license, or otherwise exploit such feedback without obligation or restriction.

8. Indemnity

Yedi will indemnify Partner against third-party claims that the Service infringes any U.S. patent, copyright, or trade secret, provided Yedi is promptly notified and given control of the defense. This does not apply to: (i) components not supplied by Yedi; (ii) components made to Partner specs; (iii) modifications after delivery; (iv) combinations with other products; (v) continued infringing activity after notice; or (vi) non-compliant use. If Services are found or believed to be infringing, Yedi may, at its option: (a) modify or replace the Service; (b) obtain a license; or (c) terminate this Agreement and refund prepaid, unused fees.

9. Limitation of Liability

YEDI AND ITS SUPPLIERS, OFFICERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR:

(A) ERROR OR INTERRUPTION OF USE, LOSS OR INACCURACY OF DATA, COST OF SUBSTITUTE GOODS/SERVICES, OR LOSS OF BUSINESS;

(B) INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES;

(C) MATTERS BEYOND YEDI'S REASONABLE CONTROL; OR

(D) ANY AMOUNTS EXCEEDING THE FEES PAID BY PARTNER TO YEDI FOR SERVICES IN THE 12 MONTHS PRIOR TO THE LIABILITY EVENT.

(E) CLEANINGS OR INDICIDENTS RELATED TO THE RESTROOM

9.1 Restroom Incidents and Conditions

Partner acknowledges and agrees that Yedi's role is limited to providing hardware and software enabling access control to Partner's restroom(s).

Yedi does not own, operate, maintain, or clean the restroom(s) and is not responsible for the condition, cleanliness, safety, or suitability of the restroom facilities.

To the maximum extent permitted by law, Yedi disclaims all liability for any accidents, injuries, illnesses, property damage, misconduct, or other incidents that occur within or in connection with the restroom(s).

Partner shall remain solely responsible for restroom maintenance, compliance with health and safety laws, and any claims or disputes arising from use of the restroom(s).

10. Confidentiality

Each party agrees to maintain the confidentiality of all non-public, proprietary information received from the other party in connection with this Agreement ("Confidential Information"). Confidential Information includes, but is not limited to, business processes, technical data, software, financial information, and non-public business information.

Neither party will disclose Confidential Information to any third party except as required by law or with the other party's written consent.

This obligation will survive the termination of this Agreement.

11. Intellectual Property Rights

All right, title, and interest in and to the Yedi Platform, hardware, software, documentation, and all related intellectual property remain with Yedi. Partner is granted a non-exclusive, non-transferable, revocable license to use the Yedi Platform and hardware solely as set forth in this Agreement. No rights are granted to Partner other than as expressly set forth herein.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, government actions, or internet failures. The affected party will notify the other party as soon as practicable and use commercially reasonable efforts to resume performance.

13. Miscellaneous

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement is not assignable, transferable, or sublicensable by Partner except with Yedi's prior written consent. Yedi may transfer and assign any of its rights and obligations under this Agreement without Partner's consent. This Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications, and other understandings relating to the subject matter of this Agreement.

All waivers and modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of this Agreement, and Partner does not have any authority of any kind to bind Yedi in any respect whatsoever. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorneys' fees. All notices under this Agreement will be in writing and will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested. This Agreement shall be governed by the laws of the State of New York, without regard to its conflict of laws provisions.

13.1 Dispute Resolution

Any disputes arising under this Agreement will be resolved in the state or federal courts located in New York. The parties agree to attempt in good faith to resolve any dispute through negotiation before commencing litigation.

13.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Partner Compliance

Partner is solely responsible for ensuring that its restrooms and related operations comply with all applicable local, state, and federal laws and regulations. This includes, but is not limited to, requirements relating to accessibility, health, safety, and sanitation.

13.4 Public Press

The parties agree to work in good faith to issue a mutually approved press release within ninety (90) days of the Effective Date. Partner further agrees to reasonably cooperate with Yedi in serving as a reference account, which may include providing testimonials, participating in case studies, or engaging in joint marketing efforts, as mutually agreed.

Yedi will collect provisioning info within 14 days of contract execution. Partners can sign in to change codes for locations and control Yedi Zen Lock access. Yedi will provide you with your own credentials to sign in. If you have stratification of roles, you agree to provide these ahead of time to our team. Otherwise, Yedi will only provide one set of credentials for the account manager.

Exhibit B: Fees & Payments Overview

Fee Types

Platform Fee: Collected at the start of each agreement year. If location revenue is less than the Platform Fee, Yedi will waive the difference.

Non-customer Pay-per-use Fee ("PPU Fee"): Yedi recommends $2.00, with a ceiling outlined in Exhibit D. Partners may set their own fee within this limit. If no fee is set, Yedi defaults to a price of $2.00.

Payment of this fee grants single-use restroom access and constitutes acceptance of posted rules.

Access to the Yedi Partner Restroom is available to all individuals upon payment of a designated "Pay Per Use" fee at the restroom entrance. Upon payment of this fee, the individual is considered a customer for the sole purpose of restroom access and is entitled to use the Yedi Partner Restroom without any further purchase or the need to request permission from staff. The Pay Per Use fee grants single-use access to the Yedi Partner Restroom. All users must comply with posted rules and regulations regarding cleanliness, safety, and appropriate conduct. The business reserves the right to deny access or remove individuals who violate these rules or engage in disruptive behavior. Payment of the restroom access fee constitutes acceptance of these terms.

Yedi Member Revenue

Partners receive a portion of member revenue based on restroom usage.

This is calculated each month, and will only be paid out if the restroom has been used by Yedi's members.

Transaction Revenue Payback

All Pay Per Use revenue will go to Yedi until the $350 lock cost is fully recouped. After that, all future Pay Per Use revenue will be split 50/50 between Yedi and Partner.

Exhibit C: Support Terms

Yedi provides technical support via email ([email protected]) seven days a week, 9:00am–6:00pm ET (excluding U.S. holidays). Phone support is available weekdays, 9:00am–6:00pm ET. For emergencies, contact your account representative 24/7.

Helpdesk tickets may be initiated 24/7 by calling [+1 (201) 279-5151] or emailing [email protected].

Yedi will use commercially reasonable efforts to respond to all helpdesk tickets within one (1) business day.

Battery Maintenance Clause

Partner acknowledges and agrees to be responsible for replacing the batteries in the smart lock unit(s) installed at their location. Yedi Technologies will provide the Partner with the following equipment upon installation:

  • A battery charging device
  • One Torx Bit for removing the battery compartment cover
  • Two additional 18650 rechargeable batteries

Partner agrees to perform battery replacements as needed and in accordance with the procedures outlined in the Yedi Partner Handbook, which will be provided at the time of installation. This includes battery orientation, activation steps, and proper use of the provided tool and charger.

Partner understands that they are solely responsible for maintaining operational battery levels at all times. Failure to do so may result in device inaccessibility or service interruptions, for which Yedi Technologies will not be held liable.

The retailer agrees that any restroom equipped with a Yedi lock will remain accessible to customers and shall not be converted into an employee-only restroom for the duration of this agreement.

These Terms constitute a binding agreement between you and Yedi Technologies Inc. ("Yedi", "we", "our", or "us"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, and you agree to comply with any additional policies, rules, and terms that may apply to specific components of the Services ("Additional Terms"), which are incorporated by reference.

2. Privacy

3. Children's Privacy

The Children's Online Privacy Protection Act ("COPPA") requires that website and mobile application service providers obtain parental consent before they knowingly collect personally identifiable information online from children who are under 13 years of age. We do not knowingly collect or solicit personally identifiable information from children under 13 years of age; if you are a child under 13 years of age, please do not attempt to register for or otherwise use the Services or send us any personal information. If we learn we have collected personal information from a child under 13 years of age, we will delete that information as quickly as possible.

4. Use of Services

4a. B2B Services

You must create an account and provide accurate, current, and complete registration information. You may not use another person's identity or transfer your account without prior written consent from Yedi. If you are using the Services on behalf of an entity, you represent that you are authorized to do so.

You agree to:

  • Comply with all applicable laws and regulations;
  • Maintain the confidentiality of your login credentials;
  • Be responsible for all activity under your account.

Use of the Services may require internet access and acceptance of additional terms.

By using B2B Services, you may be exposed to third-party content ("Third Party Materials") and user-submitted content ("Feedback Assets") that you find offensive or inappropriate. Yedi does not endorse or control these materials and disclaims liability for any of these materials or assets.

If you are using hardware or software components such as the Yedi Zen Lock, the Yedi Partner Zen App, CleanSuite, or CleanSense, you acknowledge that your use may be governed by additional technical, operational, or compliance documentation or requirements. Yedi is not responsible for maintenance, setup, or operational errors outside of its expressly stated obligations, and you agree to follow all deployment guidelines and instructions provided. If any of these hardware or software components fail as a result of misuses, Yedi is not responsible for such damages.

Finally, some Services or Third Party Materials may not be available in all languages or jurisdictions. You are responsible for complying with local laws. We reserve the right to restrict or remove access to any part of the Services without notice.

4b. Consumer Services

You may need to create an account. We encourage you to use an alias as your username for privacy reasons, although this is optional. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You agree to use the Services for your personal, lawful use and not to violate any applicable law, regulation, or third-party rights.

Yedi provides access to restrooms via its network of partners. While we strive to ensure high standards, we cannot guarantee restroom conditions during every visit. You acknowledge this and use the Services at your own risk.

Access to restrooms or Services may vary by location and language. You are expected to leave restrooms in a clean and respectful condition.

5. Payments and Billing

5a. Payment Processing

All payments for Services are processed through third-party payment processors (e.g., Stripe, Apple Pay, Google Pay). By submitting a payment, you agree to comply with the terms, conditions, and privacy policies of such processors. Yedi does not collect or store your full payment credentials (such as credit card numbers) directly.

5b. Authorization

By providing a payment method, you represent and warrant that you are authorized to use that payment method. You authorize Yedi (or its third-party payment processors) to charge the payment method for any applicable fees in connection with your use of the Services.

5c. Non-customer pay-per-use Fees and Subscriptions

Access to Yedi Network Restrooms ("Restroom Access") may be subject to a non-customer per-use access fee ("Access Fee") or a recurring subscription. The pricing for Access Fees or subscriptions is determined by Yedi in partnership with its Partners and may vary based on location, access tier, or promotional arrangements. If you purchase a subscription (e.g., monthly access), it will automatically renew at the end of each billing cycle unless canceled before the next billing period. You can manage or cancel your subscription within your account settings.

5d. Non-Refundable and Refundable Charges

Unless otherwise expressly stated in writing, all Access Fees, subscriptions, and other payments made through the Services are non-refundable without adequate evidence. This applies regardless of whether the Services are used, partially used, or interrupted. See below for refundable and non-refundable examples. This list is purely illustrative and not legally binding. Yedi reserves the right to address refunds on a case-by-case basis.

5e. Failed Payments and Account Suspension

If any payment is declined, reversed, or cannot be processed, your access to the applicable Services may be delayed until payment is received. Yedi is not responsible for fees or charges imposed by your payment provider due to failed transactions. Yedi is also not responsible for payment errors resulting from failed transactions and is not liable for any delays in restroom access as a result.

5f. Taxes

You are responsible for all taxes, levies, duties, and governmental assessments (except for taxes based on Yedi's income) that are associated with your use of the Services. Where required by law, Yedi may calculate and collect such taxes at the point of sale.

5g. Price Changes

Yedi reserves the right to change its pricing for any Services, including the non-customer pay-per-use Fees and subscription rates. For the most part, Yedi leaves pricing decisions to its Partners. If any subscription pricing change affects an active subscription, we will provide notice prior to the new rate taking effect. Continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.

5h. Disputes and Chargebacks

Before initiating a chargeback or dispute with your payment provider, you agree to first contact Yedi to attempt to resolve the issue. Filing a chargeback without reasonable grounds or without contacting us first may result in suspension or termination of your account and may be treated as a violation of these Terms.

6. Messaging

By using the Services, you may receive communications from us. You may manage your notification preferences through your account settings or our FAQs. Yedi is not responsible for missed notifications or related performance impacts.

7. Acceptable Use

You agree that by using the Services, you will not:

  • Infringe on others' intellectual property rights;
  • Use the Services for any unlawful or harmful purposes;
  • Share your credentials;
  • Use automated systems to scrape or copy content;
  • Interfere with network or system security;
  • Reverse engineer any part of the Services;
  • Submit misleading, defamatory, obscene, or offensive content;
  • Post restroom-related content involving identifiable individuals or

> bodily fluids not intended for restroom feedback purposes.

Violations may result in termination of access, use of services, and may lead to Yedi reporting to applicable authorities or employers.

8. Rights in the Services

Yedi retains ownership of all rights in the Services. Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Services. Reproduction, modification, or distribution without written permission is prohibited.

9. User Content

You retain ownership of the content you submit, upload, or store ("User Content"), but grant Yedi a license to use, reproduce, display, distribute, and adapt such content as necessary to operate the Services.

This license is:

  • Worldwide
  • Royalty-free
  • Perpetual
  • Sublicensable
  • Irrevocable

You agree that:

  • Your content is lawful and accurate;
  • You will not submit prohibited content (e.g., illegal, harmful,

  • You will not upload photos of others without consent.

You understand that public content may remain visible even after account deletion.

Third-Party Interactions

The Services may include content, features, or links from third parties.

Yedi does not control and is not responsible for third-party content or services.

Your interactions with third-party service providers are solely between you and the third party. Yedi is not liable for any damages arising from such interactions.

10. Changes to the Services

We reserve the right to modify, discontinue, or restrict any part of the Services at any time without notice. We may remove content or restrict access for any reason, including violation of these Terms.

11. Fees and Payments

11a. Gig or Delivery Drivers

Services may be offered free or at a discounted rate through third-party platform providers. We reserve the right to begin charging for any Services in the future with prior notice of such charges.

11b. General Users

Yedi App usage is currently free. Restroom Access may require payment of an access fee ("Access Fee"), which is determined in collaboration with our Partners. We reserve the right to modify fees.

11c. Non-customer pay–per-use Fees are shared between:

  • Yedi's Partner establishment;
  • On-site Partner staff responsible for restroom cleanliness;
  • Yedi, a portion of which may be donated to nonprofit initiatives.

12. Termination

You may discontinue use or delete your account at any time. We may suspend or terminate your access for any reason, including breach of these Terms.

Account deletion may result in the loss of data and content.

13. App Store Terms

Your use of the Yedi App through Apple or Google Play is subject to the applicable app store's terms. Yedi is solely responsible for the App's functionality. Apple and Google are not liable for support, warranty, or legal claims relating to the App.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. YEDI DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOU USE THE SERVICES AT YOUR OWN RISK, INCLUDING EXPOSURE TO OFFENSIVE OR INACCURATE CONTENT, THIRD-PARTY LOCATIONS, OR UNSANITARY CONDITIONS.

YEDI IS NOT LIABLE FOR DAMAGES RELATED TO THE CONDITION OF RESTROOMS OR YOUR USE OF THE SERVICES.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YEDI SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES;
  • LOST PROFITS OR BUSINESS INTERRUPTION;
  • DAMAGES EXCEEDING \$100 IN THE AGGREGATE;
  • EVENTS BEYOND OUR CONTROL.

Some jurisdictions do not allow certain exclusions or limitations, so some may not apply.

16. Indemnity

You agree to indemnify and hold harmless Yedi and its affiliates from all claims, damages, liabilities, and expenses arising from your use of the Services or your breach of these Terms.

17. Governing Law

These Terms are governed by the laws of the State of New York and applicable U.S. federal law.

18. Arbitration Agreement

Disputes must first be resolved through good-faith negotiation.

Unresolved disputes will be settled by binding arbitration in New York County, NY under JAMS Streamlined Arbitration Rules. You waive the right to a jury trial and class actions.

You may opt out of arbitration within 30 days of accepting these Terms by mailing a written request to: 329 11th Street NE, Washington DC 20002.

19. Miscellaneous

These Terms are the entire agreement between you and Yedi. If any provision is unenforceable, it will be modified to the minimum extent necessary. No waiver of any provision shall be deemed a waiver of any other provision.

You are not an employee, partner, or agent of Yedi. Except as noted in the Apple App or Arbitration sections, there are no third-party beneficiaries.
