Yedi Technologies, Inc. is a Delaware corporation ("Yedi," "we," "us"). We provide smart locks, related hardware, and a software platform ("Services") for retail and commercial operators ("you").
You must create an account to use most of the Services. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your credentials. You are responsible for all activity that occurs under your account.
You must be at least 18 years old and authorized to enter contracts on behalf of any organization you represent.
Hardware purchases are subject to availability and our then-current pricing. Title and risk of loss pass to you when the product is delivered to the carrier. We accept returns within 30 days of delivery in original condition; restocking fees may apply for opened items.
Hardware is covered by our limited 1-year warranty against defects in materials and workmanship under normal use. Damage from misuse, unauthorized modification, or environmental factors is not covered.
Hardware purchases include 60 days of YediOS software at no additional charge. After that period, software is billed at the rate listed on our pricing page, per door, per month, billed monthly or annually.
You may cancel your software subscription at any time, effective at the end of the current billing period. We do not provide refunds for partial billing periods.
Subscription pricing may change with 60 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
You may use the Services for lawful business purposes only. You may not: reverse-engineer or attempt to derive source code; resell or sublicense the Services without our written permission; use the Services to violate any law or the rights of others; interfere with or disrupt the Services or related infrastructure; or use the Services in any way that could damage Yedi's reputation or business.
You retain all rights to data you submit through the Services. You grant us a limited license to use that data to operate, improve, and provide the Services. Our handling of your data is governed by our Privacy Policy.
You are responsible for ensuring you have the right to collect and provide any data that flows through the Services, including data about your employees, customers, and operational activity.
The Services, including all software, hardware design, documentation, and branding, are protected by intellectual property laws. Nothing in these terms transfers ownership of any Yedi intellectual property to you. You may use the Services only as permitted by these terms.
We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance, unscheduled outages, and force majeure events may affect availability. We will give reasonable notice of scheduled maintenance when possible.
Some Services require an internet connection. Some Yedi locks operate offline and synchronize when connected. Loss of connectivity does not entitle you to refunds.
You may terminate your account at any time by contacting us or canceling through the product. We may suspend or terminate your account if you violate these terms, fail to pay, or use the Services in ways that harm Yedi, other users, or third parties.
Upon termination, your right to use the Services ends. We will provide you a reasonable opportunity to export your data before deletion.
The Services are provided "as is." To the maximum extent permitted by law, Yedi disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Yedi's products are tools that support, but do not replace, sound operational and security practices. Yedi is not responsible for the actions of your employees, contractors, or customers, or for losses arising from access control decisions you make.
To the maximum extent permitted by law, Yedi's total liability arising out of or related to the Services is limited to the amount you paid Yedi in the 12 months preceding the claim. Yedi is not liable for any indirect, consequential, incidental, special, or punitive damages.
You agree to indemnify and hold Yedi harmless from claims, damages, and expenses arising from your use of the Services, your violation of these terms, or your violation of the rights of any third party.
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising under these terms will be resolved in the state or federal courts located in Delaware, and the parties consent to that jurisdiction.
We may update these terms from time to time. When we make material changes, we will notify you. Your continued use of the Services after changes take effect constitutes acceptance.
